These Terms of Service ("Terms") govern your use of the NAD+ Life website (nadpluslife.co.uk) and any purchases made through it. By accessing this website or placing an order, you agree to be bound by these Terms in full.

If you do not agree with these Terms, please do not use this website.

2. Scope of These Terms

These Terms apply to consumer purchases only — that is, purchases made by individuals for personal, non-business use. Business-to-business purchases (including wholesale, trade, and stockist orders) are governed by a separate written agreement. If you believe you are purchasing for business purposes, please contact us at orders@nadpluslife.co.uk before placing an order.

Our CQC registration covers the operation of our regulated clinical services. It does not extend to the online retail of wellness supplements sold via this website. Products purchased through this website are sold on a retail consumer basis and are not supplied in the context of a regulated clinical consultation.

3. Who Can Purchase

You may only purchase products from this website if you:
- Are at least 18 years old
- Are resident in the United Kingdom (including Scotland, Wales, England, Northern Ireland, the Isle of Man, and the Channel Islands)
- Have the legal capacity to enter into a binding contract

By placing an order, you confirm that you meet these requirements. We may ask for proof of age at the point of delivery, and our courier may refuse to release the parcel if the recipient cannot confirm they are over 18.

We do not accept orders from outside our stated delivery area. Any orders placed to non-UK addresses will be cancelled and refunded.

4. Products

Our products are NAD+ (nicotinamide adenine dinucleotide) wellness supplements. They are:
- Not medicines
- Not licensed by the MHRA
- Not intended to diagnose, treat, cure, or prevent any disease
- Not a substitute for a balanced diet, regular exercise, medical advice, or prescribed treatment

Product descriptions, images, and information on this website are provided for informational purposes only and should not be considered medical, clinical, or pharmacy advice. Any statements about NAD+ science refer to published research and are provided for educational purposes.

If you have a medical condition, are pregnant or breastfeeding, are taking any medication, or are unsure whether these products are suitable for you, consult a qualified healthcare professional before use.

Product images and colours are displayed as accurately as possible, but the final appearance may vary slightly depending on your device, screen settings, and manufacturing batch.

5. Product Availability and Substitution

All products are subject to availability. If a product is out of stock at the time of order, we will notify you by email and:
- Offer to hold the order until stock is available, or
- Cancel the relevant line item and issue a refund for that item

We reserve the right to discontinue, modify, or replace any product at any time without notice.

6. Pricing

6.1 Prices
All prices on this website are displayed in GBP (£) and include VAT where applicable. Delivery charges are shown separately at checkout.

6.2 Price changes
We may change product prices at any time without notice. Orders that have already been placed and confirmed will be honoured at the price displayed at the time of checkout.

6.3 Pricing errors
Our website contains a large number of products and we take reasonable care to ensure prices are accurate. Occasionally, despite our best efforts, a pricing error may occur. Where a product is listed at an incorrect price that is obviously wrong and could reasonably have been recognised as a mistake, we reserve the right to cancel the affected order before dispatch and issue a full refund. We will notify you if this happens and offer the option to re-order at the correct price.

7. Payment

Payment is processed securely through our third-party payment provider (Shopify Payments). We do not store full payment card details on our servers.

All transactions are protected by 3D Secure authentication and industry-standard fraud screening. We may hold, delay, or cancel any order that is flagged by our fraud analysis processes. Where we do so, we will notify you by email.

Acceptable payment methods are displayed at checkout and may include debit card, credit card, Apple Pay, Google Pay, Shop Pay, Klarna, and other payment methods supported by our platform.

8. Contract Formation

When you place an order through our website:
- Your order is an offer to purchase the products at the prices displayed
- You will receive an automated order confirmation email — this email acknowledges receipt of your order, but it does NOT form a contract
- A contract is formed only when we dispatch the product and send you a dispatch confirmation email

This means we may decline your order before dispatch for any lawful reason, including:
- Stock unavailability
- Pricing errors
- Failed fraud screening
- Restricted or suspicious delivery address
- Previous evidence of chargeback or fraudulent activity
- Breach of these Terms

Where we decline an order, we will issue a full refund and notify you by email. No further contractual obligation will exist between us.

9. Delivery

Delivery of your order is governed by our Shipping Policy, which forms part of these Terms. Please read it carefully.

Under the Consumer Rights Act 2015, the goods remain our responsibility until they are physically received by you or a person you have nominated to receive them. Where you select a "safe place" or nominate a neighbour, risk passes to you on delivery to that location.

10. Returns, Refunds, and Faulty Goods

Your rights to return, refund, or claim for faulty goods are governed by our Refund & Returns Policy, which forms part of these Terms. That policy reflects and respects your statutory rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013. Nothing in these Terms or that policy seeks to exclude or limit those statutory rights.

11. Resale Restriction

Products purchased from this website are intended for personal use only. You may not:
- Resell our products, either online or in physical retail, without our prior written authorisation
- Distribute our products through any third-party marketplace (including but not limited to Amazon, eBay, Etsy, Vinted, Gumtree, or Facebook Marketplace)
- Represent yourself as an authorised distributor, stockist, affiliate, or agent of NAD+ Life
- Use our brand name, trademarks, product images, or marketing materials in connection with any resale

Authorised stockists are appointed only under a separate written agreement. If you are interested in becoming an authorised stockist, please contact us via the Become a Stockist page on our website.

We reserve the right to refuse future orders from any customer who we reasonably believe is purchasing for unauthorised resale.

12. Acceptable Use

You agree not to:
- Use the website for any unlawful purpose or in breach of any applicable law or regulation
- Access or attempt to access any part of the website that is not intended for public access
- Use automated tools (including bots, crawlers, scrapers, or data harvesting software) to access, monitor, or extract content from the website, except for legitimate search engine indexing
- Reverse engineer, decompile, or attempt to extract the source code of the website
- Introduce viruses, trojans, worms, or other malicious code
- Attempt to probe, scan, or test the vulnerability of the website or bypass any security measures

We reserve the right to suspend, restrict, or terminate your access to the website at any time where we reasonably believe you have breached this clause, without notice.

13. Guest Checkout Only

We operate on a guest-checkout-only basis. We do not offer customer accounts on this website. Each order is treated independently. If you wish to reorder, you will need to re-enter your details at checkout.

All content on this website — including text, images, logos, product names, graphics, photography, videos, trademarks, and design elements — is owned by Clinical Services Group Ltd or licensed to us by third parties. It is protected by UK and international intellectual property laws.

You may view, download for personal use, and print pages from this website for your own personal, non-commercial use only.

15. User-Generated Content

Where you submit content to us (including product reviews, testimonials, photographs, or feedback), you grant us a non-exclusive, worldwide, royalty-free, perpetual licence to use, reproduce, adapt, publish, and display that content for marketing, operational, and promotional purposes. You warrant that any content you submit:
- Is your own original work or that you have the necessary rights to submit it
- Does not infringe the rights of any third party
- Is not false, misleading, defamatory, offensive, or unlawful
- Does not contain any person's personal data without their consent

We reserve the right to moderate, edit, or remove any submitted content at our sole discretion.

16. Website Availability

We will use reasonable efforts to make the website available at all times, but we cannot guarantee uninterrupted or error-free access. The website may be temporarily unavailable due to maintenance, technical issues, or reasons outside our reasonable control. We are not liable for any loss or inconvenience caused by website downtime.

17. Force Majeure

We will not be liable for any delay or failure to perform our obligations where the delay or failure is caused by events outside our reasonable control. This includes, but is not limited to:

- Industrial action (including courier strikes)

- Government action or regulatory change
- Supply chain disruption
- Cyberattacks, data breaches, or technical failures affecting third-party platforms

Where a force majeure event occurs, we will notify you and make reasonable efforts to perform our obligations as soon as possible. If the event continues for more than 60 days, either party may cancel the affected order without liability.

18. Liability

18.1 Our statutory liability
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Breach of your statutory rights under the Consumer Rights Act 2015
- Any other liability that cannot be excluded or limited under UK law

18.2 Our general liability
Subject to clause 18.1, we are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach.

Loss or damage is foreseeable if either it is obvious it will happen, or if at the time you placed your order both we and you knew it might happen.

18.3 Products for personal use
Our products are supplied for domestic and private use. If you use the products for any commercial, business, or resale purpose, we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

19. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, damage, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the website, or your infringement of any third-party rights.

20. Changes to These Terms

We may update these Terms from time to time to reflect legal, regulatory, or operational changes. The current version will always be displayed on this page with an updated "last updated" date.

Where an order has already been placed, the Terms that applied at the time of your order will continue to govern that order. Any updated Terms will apply only to orders placed after the update.

21. Complaints

If you are dissatisfied with our products or service, please contact us first at orders@nadpluslife.co.uk with your order number and a description of your concern. We aim to acknowledge all complaints within 2 working days and resolve them within 14 working days.

Where a complaint cannot be resolved between us, you may be able to escalate the matter through:
- Your payment card issuer (chargeback process)
- The UK Small Claims Court (via gov.uk/make-court-claim-for-money)
- Citizens Advice Consumer Helpline (0808 223 1133)
- Trading Standards (via reporting@tradingstandards.uk.gov)

We are not currently a member of an Alternative Dispute Resolution (ADR) scheme.

22. Data Protection

Our use of your personal data is governed by our Privacy Policy, which forms part of these Terms. Please read it carefully.

23. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising from or relating to these Terms, the website, or any product purchased through it, will be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this clause prevents you, as a consumer, from bringing proceedings in the courts of the jurisdiction in which you are resident, where UK consumer law permits.

24. Entire Agreement

These Terms, together with our Privacy Policy, Refund & Returns Policy, and Shipping Policy, constitute the entire agreement between you and us in relation to your use of this website and any purchase made through it.

If any provision of these Terms is found by a court to be unenforceable, the remaining provisions will continue to apply.

25. Severability

If any provision of these Terms is held to be invalid or unenforceable by any court or regulatory authority, the remaining provisions will remain in full force and effect.

26. Waiver

Any failure or delay by us in enforcing any right under these Terms does not constitute a waiver of that right or any other right.

27. Third-Party Rights

These Terms are between you and us only. No third party has any right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.
